Catchfly Merchandise Club/ Affiliate Store Agreement

Welcome to Catchfly Merchandise. This agreement explains how your club/affiliate store works, what each of us is responsible for, and how commission is paid. Please read it carefully.

 


1) Parties

This agreement is between:

  • Catchfly Merchandise (“Catchfly Merchandise”, “we”, “us”), and

  • You, the club/ affiliate store owner (“Affiliate”, “you”).

By proceeding with setup (including ticking any acceptance box, submitting store details, or requesting launch), you confirm that you are 18+ and legally able to enter into a contract.

 


2) Acceptance, Go-Live and Start Date

This agreement becomes effective on the date your affiliate store is made live and publicly accessible (“Go-Live Date”).

By requesting your store to go live, approving the store setup, or continuing to operate or promote the store once live (including receiving commission), you confirm you have read, understood and agree to be bound by this agreement. No signed copy is required for this agreement to be binding.

If you do not agree with any part of it, you must tell us before go-live and you must not promote or use the store.

 


3) What You Get

As a Catchfly Merchandise affiliate store owner, you get a hosted online shop and access to our print-on-demand fulfilment system — with no stock to buy and no upfront production costs.

Initial setup (done for you)
Catchfly Merchandise will build and host your branded affiliate store and will add an initial starter range of twelve (12) branded products.

 

Ongoing access (self-serve)
After your store is live, you are free to add as many additional products as you wish at any time using the Decorated Products tab in your dashboard, provided the products are available within the Catchfly Merchandise fulfilment system and comply with our content rules.

Optional “done-for-you” support (may have a fee)
If you would like Catchfly Merchandise to add extra products, create collections, upload new designs, or make layout changes on your behalf (beyond the initial 12-product setup), we can do this as an optional service. Any fee will always be confirmed with you in advance.

Fulfilment and shipping
Catchfly Merchandise handles production, packing and shipping to your customer, so you can focus on promoting your store and building sales.

 

 


4) Commission, Pricing and Seller of Record

Seller of Record (SoR): Catchfly Merchandise is the Seller of Record for all transactions. This means:

  • Customers purchase from Catchfly Merchandise (not directly from you).

  • Catchfly Merchandise is responsible for taking payment, VAT/sales tax, fulfilment, shipping, returns and refunds.

  • You earn commission/markup on each sale (see below).

Commission and pricing:

  • Standard commission is 10% on each sale.

  • You may increase retail pricing/markup within reason. Catchfly Merchandise may request pricing changes where pricing is excessive or could damage customer trust or brand reputation.

Tax note: You are generally responsible for declaring your earnings/commission in line with your local tax rules. Catchfly Merchandise is not responsible for your personal tax reporting.

Independent store look: If you want your store to appear more independent (e.g., custom domain, branded receipts, custom store contact name), Catchfly Merchandise can set this up, but Catchfly Merchandise remains the legal Seller of Record.

 


5) Getting Paid

  • Payouts are made monthly based on cleared earnings (your commission/markup, minus any applicable fees or adjustments such as refunds).

  • You will need a PayPal account for payouts.

  • It’s your responsibility to keep payment details accurate. You can check/update settings and view payout info via your dashboard.

 


6) Products and Content Rules

You may only sell products available through Catchfly Merchandise’s fulfilment system.

Design rights:

  • You must own the rights to any designs/logos/artwork you upload or use, or have written permission to use them.

  • Copyright infringement is not permitted.

Prohibited content:
Offensive, discriminatory, illegal, misleading, or inappropriate content is not allowed. Catchfly Merchandise may remove designs/products that breach these rules or that create legal/reputational risk.

 


7) Brand Standards, Marketing Claims and Reputation

The Affiliate agrees to present their store and promotions in a way that is lawful, accurate, and not misleading. The Affiliate must not do anything (online or offline) that could reasonably harm the reputation of Catchfly Merchandise, its platform, suppliers, or the Affiliate Store.

Delivery and service claims
The Affiliate must not promise delivery dates, stock availability, or service levels outside Catchfly Merchandise’s stated lead times and policies. Any delivery estimates must match current Catchfly Merchandise guidance.

Catchfly Merchandise may request that the Affiliate edits or removes any content, product listing, social post or promotion that:

  • breaches this agreement,

  • is misleading or inaccurate,

  • uses inappropriate language or imagery, or

  • creates legal or reputational risk.

If the Affiliate does not make the requested change within a reasonable timeframe, Catchfly Merchandise may temporarily suspend affected listings or the store until the issue is resolved.

 


8) Customer Data and Communications

Catchfly Merchandise is the Seller of Record and is responsible for customer checkout, payments, fulfilment and customer service processes. Customer personal data is handled in line with Catchfly Merchandise’s Privacy Policy and applicable data protection law.

The Affiliate must not:

  • request, collect, store, or use customer personal data from store orders for their own purposes (including marketing), unless Catchfly Merchandise has explicitly agreed in writing and it is lawful; or

  • contact customers obtained through the store for marketing purposes unless the customer has given valid consent to the Affiliate directly.

Where customer queries come to the Affiliate directly (e.g., via the Affiliate’s own social channels), the Affiliate may respond to that enquiry, but should not add the customer to any mailing list or marketing database unless the customer has opted in.

 


9) Your Responsibilities

To keep hosting free of charge and ensure the store performs well, you agree to:

  • Promote your store with at least two social posts per month (or similar reasonable promotion).

  • Respond to customer enquiries that come to you directly (e.g., via your own social accounts/messages).

  • Keep contact details up to date.

  • Set your pricing appropriately (if you choose to change markups).

  • Review your store content periodically and keep it accurate.

  • Comply with applicable laws and any income/tax reporting obligations in your country.

 


10) Catchfly Merchandise’s Responsibilities

Catchfly Merchandise will:

  • Manage orders, printing, packing and shipping.

  • Handle customer payments, returns and refunds (as Seller of Record).

  • Maintain the platform, store hosting and basic reporting tools.

  • Provide reasonable support to help you run your store.

 


11) Store Closure, Suspension and Inactivity

You may close your store at any time by contacting Catchfly Merchandise.

Catchfly Merchandise may suspend or close the store if:

  • there is a breach of this agreement,

  • the store is used for misuse, fraud, spam or prohibited content, or

  • the store is inactive for six months (no sales or no meaningful promotion/activity), after reasonable attempts to contact you.

Where possible, Catchfly Merchandise will give notice before closure, but may act immediately where necessary to prevent harm, legal risk or platform misuse.

 


12) Intellectual Property

  • You retain ownership of your original designs.

  • You grant Catchfly Merchandise permission to use your designs solely for the purpose of producing and fulfilling orders and for displaying products within your affiliate store.

 


13) Service Availability and Liability

Catchfly Merchandise aims to provide a reliable service, but cannot guarantee uninterrupted access or error-free operation at all times.

Catchfly Merchandise is not responsible for failures caused by third-party providers (e.g., payment processors, internet service providers, platforms, carrier delays, or supplier disruptions) beyond our reasonable control.

 


14) Disputes and Governing Law

If a dispute arises, both parties agree to attempt to resolve it promptly and reasonably.

This agreement is governed by Scottish law, and any disputes will be handled by the Scottish courts.

 


15) Changes to This Agreement

Catchfly Merchandise may update this agreement from time to time. Where changes are material, we will notify you by email and/or via the Affiliate Resource Hub.

Continued operation or promotion of your store after an updated version takes effect will constitute acceptance of the updated terms.

 


16) Business Name and Legal Entity

Catchfly Merchandise may operate through a different legal entity in future (for example, a limited company). If this happens, this agreement may be assigned/novated to the new operating entity and will continue to apply on the same terms, unless you are notified otherwise. Your continued operation or promotion of your store after notification will confirm acceptance of the updated entity details.
